Gaia Partner Program Terms and Conditions
This agreement ("Agreement") is entered into by and between Your Company / ("Partner") and Gaia, Inc. ("Gaia"), collectively referred to as the "Parties."
1. Gaia Partner's Primary Goals:
1.1 Partner's primary goals as a Gaia Partner include:
   a. Earning a revenue percentage of all subscription fees paid by new members introduced to Gaia through Partner's efforts. 
   b. Utilizing online influence to establish recurring revenue streams using Gaia Partner Program tools and best practices. 
   c. Participating in Gaia campaign marketing initiatives to drive new audiences through Partner's coded web links.
2. Commission Structure and Definitions:
2.1 Partners earn a 30% commission on the initial subscription and any subscription renewals from their direct, active retained referrals.
2.2 Partners will also receive 30% of commissions on members who re-subscribe due to their marketing efforts.
2.3 Commission Example: If a subscriber signs up for a $99 a year membership through a Gaia Partner's marketing efforts, the Gaia Partner will receive $29.70 and will continue to receive that amount for each year the member renews.
2.4 Partners are entitled to receive commissions as long as they are not in breach of this Agreement and remain active Gaia Partners.
2.5 Gaia reserves the right to modify or discontinue the Gaia Partner Program upon written notice to Partners.
3. Cookie Window:
3.1 All Gaia Partners will be paid on a first-click attribution basis with a 90-day cookie window.
3.2 Referring Partners will still receive credit for the sale if the lead is acquired by Gaia through paid attribution during the 90-day cookie window.
4. How the Program Works and What You Will Receive:
4.1 Partners are responsible for sharing Gaia content with online audiences using FREE video share links, custom-coded web links provided by the Gaia Partners Team, and relevant assets corresponding to the Gaia content being promoted.
4.2 Video clip usage restrictions:  
   a. Clips cannot exceed 10 minutes in length
   b. Clips must play unaltered, uninterrupted, and unedited.
   c. Coded Gaia links relevant to the clips must be included in the episode notes and/or in a pinned comment.
4.3 Partners will have access to a customized "Link Library" with tracking web links for promotion across various channels.
4.4 Gaia Marketing support and best practices will be provided by the Gaia Partners Team for marketing purposes only.
4.5 Partners may have opportunities to participate in Gaia Marketing Campaigns to enhance their reach.
4.6 Proactive engagement with the Gaia Partners Team is encouraged to stay involved and updated on program initiatives and content opportunities.
5. Payment Schedule:
5.1 Payments for successful referrals are processed by the 15th of the month, for the calendar quarter prior.  For example Q1 (Jan, Feb, March) commissions will be paid by April 15.
6. Terms of Agreement:
6.1 Partner will act as a Gaia Partner by referring new members to Gaia and stay an active Gaia partner by participating in at least one live digital event per year.  Reoccurring commissions are based on yearly participation.  
6.2 Partner will present Gaia to their audiences with positive influence and candor.
6.3 Partner's entitlement to commission may cease if they act against Gaia's values and mission.
6.4 Partner's status must remain "active" for revenue share payouts.  One promotion per calendar year is required to stay active. 
6.5 Partner agrees not to compete with Gaia paid advertising search terms without approval.
6.6 Partner agrees to confidentiality and non-disparagement.
6.7 Partner agrees to arbitration for dispute resolution.
6.9 Partner agrees to indemnify Gaia.
6.10 Assignment is subject to Gaia's consent.
6.11 Partner agrees to confidentiality regarding Gaia's trade secrets and proprietary information.
6.13 Partner agrees to provide and keep current all necessary tax, business and payment information such as EIN, SSN, W8BEN, banking and routing information, and agrees to absorb any fees associated with payouts by the method chosen by the partner.  Failure to do so may result in delayed or suspended payments. 
6.14 This Agreement contains the entire agreement of the Parties.
7. Email: 
7.1 If you intend to promote our Program via e-mail campaigns, you must adhere to the following:
7.2 Abide by the CAN-SPAM Act of 2003 (Public Law No. 108-187) with respect to our Program.
7.3 E-mail must be sent on your behalf and must not imply that the e-mail is being sent on behalf of Gaia or Gaia LLC.
8. Social Media 
8.1 Use of any of our trademarked terms as part of your social handle is strictly prohibited i.e. facebook.com/gaia.
9. Domain Guidelines: 
9.1 Use of any of our trademarked terms as part of the domain or sub-domain for your website is strictly prohibited i.e. gaia.com ETC. 
10. Coupon Code Guidelines:
10.1 You may not use a coupon or offer sites to promote our program.
10.2 You may not submit your affiliate code to any coupon sites.
10.3 Any transaction coming from a coupon or offer site will be reversed.
10.4 You may ONLY advertise coupon/discount codes that are provided exclusively to you through the affiliate program.
11. Linking to our website:
11.2 Your Website will not in any way copy, resemble, or mirror the look and feel of our Website. You will also not use any means to create the impression that your Website is our Website or any part of our Website including, without limitation, framing of our Website in any manner.
11.3 You may not engage in cookie stuffing or include pop-ups, false or misleading links on your website. In addition, wherever possible, you will not attempt to mask the referring url information (i.e. the page from where the click is originating).
11.4 Using redirects to bounce a click off of a domain from which the click did not originate in order to give the appearance that it came from that domain is prohibited.
11.5 Your website:
11.6 Infringe on our or any anyone else’s intellectual property, publicity, privacy or other rights.
11.7 Violate any law, rule or regulation.
11.8Contain any content that is defamatory, obscene, threatening, harassing, harmful to minors, or contains nudity, pornography or sexually explicit materials.
11.9 Contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, interfere with, surreptitiously intercept or expropriate any system, data, or personal information.
11.10Contain software or use technology that attempts to intercept, divert or redirect Internet traffic to or from any other website, or that potentially enables the diversion of affiliate commissions from another website. This includes toolbars, browser plug-ins, extensions and add-ons.
11.11 Your website may not make any health claims about our products or content that go against the following statement: Our content is for entertainment purposes only and are not intended to diagnose, treat, cure or prevent any disease. This will lead to a termination of your account. 
12. Coupon Code Guidelines:
12.1 You may not use a coupon or offer sites to promote our program.
12.2 You may not submit your affiliate code to any coupon sites.
12.3 Any transaction coming from a coupon or offer site will be reversed.
12.4 You may ONLY advertise coupon/discount codes that are provided exclusively to you through the affiliate program.
13. Enrollment:
13.1 After receiving your application, we will review your information and notify you of your acceptance into our Program. Please allow up to 2 weeks for your application to be reviewed. We reserve the right to reject any application, however we encourage you to contact us if you feel we have made an incorrect decision.
